2. About WanderX

WanderX is a communication platform designed to help individuals and organizations communicate more naturally across languages through localized voice, text, and video communication.

Unlike traditional translation tools that focus primarily on literal word-for-word translation, WanderX is designed to preserve the intent, personality, and voice behind communications while adapting them for more natural understanding across languages and cultures.

Although WanderX strives to provide high-quality localized communications, the Services are intended to facilitate communication and should not be relied upon as a substitute for professional judgment where accuracy is critical.

3. Eligibility

To create an account and use the Services, you must be at least 13 years of age, or the minimum age required under the laws of your jurisdiction.

If you are under the age of 18, or the age of legal majority where you reside, you represent that you have obtained any permission or consent from a parent or legal guardian required by applicable law before using the Services.

By using WanderX, you represent and warrant that:

• You satisfy the eligibility requirements described in these Terms.
• The information you provide is accurate and truthful.
• You have the legal authority to enter into these Terms.
• Your use of the Services complies with applicable law.

WanderX reserves the right to suspend or terminate accounts that do not meet these eligibility requirements.

4. Your Account

You are responsible for maintaining the security of your WanderX account.

You agree to:

• Provide accurate and current account information.
• Keep your login credentials confidential.
• Promptly update information that becomes inaccurate.
• Notify WanderX immediately if you suspect unauthorized access to your account.
• Accept responsibility for activity occurring under your account unless prohibited by applicable law.

You may not sell, transfer, rent, or share your account with another individual without WanderX's written permission.

We reserve the right to suspend or terminate accounts that violate these Terms or present a security risk to the Services.

5. Acceptable Use

You agree to use WanderX responsibly, respectfully, and only for lawful purposes.

You may not use the Services to:

• Violate any applicable law or regulation.
• Harass, threaten, intimidate, or abuse another person.
• Promote violence or criminal activity.
• Engage in fraud or deceptive conduct.
• Infringe another person's intellectual property or privacy rights.
• Distribute spam or unsolicited communications.
• Upload or transmit malicious software or harmful code.
• Circumvent technical limitations or security measures.
• Reverse engineer, decompile, or attempt to discover proprietary technologies except where permitted by applicable law.
• Use automated systems or bots in a manner that negatively affects the Services.
• Misrepresent your identity or impersonate another individual or organization.
• Use the Services in any manner that could interfere with the security, availability, or reliability of WanderX.

WanderX reserves the right to investigate suspected misuse and take appropriate action, including restricting, suspending, or terminating accounts.

6. Voice Profiles

Voice Profiles are a core feature of WanderX.

By creating a Voice Profile, you represent and warrant that:

• The voice belongs to you, or
• You have obtained all necessary rights and permissions to use that voice.

You agree not to:

• Create a Voice Profile using another person's voice without authorization.
• Use Voice Profiles to deceive, defraud, or impersonate another individual.
• Misrepresent your identity through localized communications.
• Use Voice Profiles for unlawful purposes.

You remain solely responsible for ensuring that your use of Voice Profiles complies with applicable law.

WanderX reserves the right to remove Voice Profiles, restrict functionality, suspend accounts, or terminate access where we reasonably believe Voice Profiles are being used in violation of these Terms.

7. User Content

You retain ownership of the content you submit through the Services, including voice recordings, Voice Profiles, text, videos, images, files, and other communications ("User Content").

By submitting User Content through the Services, you grant WanderX a limited, worldwide, non-exclusive, revocable license to host, process, transmit, display, and otherwise use that content solely as necessary to:

• Provide the Services.
• Maintain the Services.
• Secure the Services.
• Improve the Services.
• Support the features you choose to use.

This license does not transfer ownership of your User Content to WanderX.

You remain solely responsible for all User Content you choose to create, submit, send, or share through the Services.

You represent and warrant that you have all necessary rights, permissions, and authority to submit your User Content and that doing so does not violate the rights of any third party.

8. Intellectual Property

The Services, including the WanderX website, mobile applications, software, user interface, branding, logos, graphics, designs, documentation, and other content made available by WanderX (excluding User Content), are owned by WanderX or its licensors and are protected by applicable intellectual property laws.

These Terms do not transfer ownership of any intellectual property rights from WanderX to you.

Subject to your compliance with these Terms, WanderX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

This license does not permit you to:

• Copy or reproduce the Services except as expressly permitted.
• Modify, adapt, or create derivative works.
• Sell, sublicense, lease, or commercially exploit the Services without prior written permission.
• Reverse engineer or attempt to discover proprietary technologies except where expressly permitted by applicable law.

Feedback

We welcome feedback, suggestions, and ideas regarding the Services.

If you voluntarily provide feedback, you agree that WanderX may use that feedback without restriction or obligation to compensate you.

This provision applies only to voluntary feedback relating to the Services and does not transfer ownership of your User Content.

9. Consumer Subscriptions & Billing

Certain features of the Services require a paid subscription.

Consumer subscriptions are generally purchased through an authorized app marketplace, including but not limited to:

• Apple App Store
• Google Play
• Other authorized marketplaces supported by WanderX

Subscription plans, pricing, available features, and usage limits may change from time to time as the Services evolve.

Consumer Billing

Consumer subscriptions are billed in advance through the applicable marketplace.

Billing, payment methods, subscription renewals, cancellations, refunds, and purchase management are generally governed by the policies of the marketplace through which the subscription was purchased.

Where applicable, users should manage their subscriptions directly through their marketplace account.

Automatic Renewal

Unless cancelled before the end of the current billing period, consumer subscriptions automatically renew for successive billing periods.

By purchasing a subscription, you authorize the applicable marketplace or payment provider to charge the recurring subscription fee until cancelled.

Cancellation

You may cancel your subscription at any time.

Cancellation prevents future renewal but does not automatically entitle you to a refund for the current billing period unless required by applicable law or the policies of the marketplace through which the purchase was made.

10. Business Services

WanderX also offers business, enterprise, and commercial services to organizations including, but not limited to:

• Medical clinics
• Hospitals
• Healthcare providers
• Hotels
• Hospitality providers
• Educational institutions
• Employers
• Enterprise customers
• Other commercial organizations

Business services may include customized onboarding, direct invoicing, enterprise licensing, integrations, dedicated support, administrative tools, or other commercial offerings.

Business customers may be governed by these Terms together with a separate proposal, order form, invoice, service agreement, enterprise agreement, or other written commercial agreement.

Where a separate commercial agreement exists, that agreement governs any conflict relating specifically to the commercial relationship.

Business Billing

Business customers may be billed directly by WanderX using invoicing or another mutually agreed payment method.

Business pricing may differ from consumer pricing and may include customized licensing, usage limits, implementation services, onboarding, support, integrations, or other enterprise features.

Nothing in these Terms obligates WanderX to provide identical pricing, services, or features across consumer and business offerings.

Business Renewals

Business agreements renew according to the renewal provisions contained within the applicable commercial agreement.

Promotional Pricing

From time to time, WanderX may offer introductory pricing, promotional discounts, beta programs, referral incentives, early access pricing, or other limited-time offers.

Unless expressly stated otherwise, promotional pricing is temporary and does not guarantee continued availability after the promotional period ends.

WanderX reserves the right to modify or discontinue promotional offers at any time.

11. Refund Policy

Consumer purchases are generally subject to the refund policies of the applicable app marketplace.

If your subscription was purchased through the Apple App Store, Google Play, or another authorized marketplace, WanderX may not be able to issue refunds directly where those purchases are controlled by the marketplace.

Business payments are governed by the applicable commercial agreement between WanderX and the business customer.

12. Beta Features & Early Access

From time to time, WanderX may offer features, languages, integrations, or services identified as Beta, Preview, Early Access, Experimental, or similar.

These features are provided for testing, evaluation, and product development purposes and may:

• Contain bugs, errors, or inaccuracies
• Be modified, suspended, or discontinued at any time
• Operate differently than generally available features
• Have limited functionality or support

WanderX makes no representation or warranty that Beta features will become generally available or remain available for any specific period of time.

Your use of Beta features is entirely voluntary.

13. Accuracy of Communications

WanderX is designed to help users communicate more naturally across languages through localized voice, text, and video communication.

While WanderX is designed to deliver high-quality localized communications, no communication platform or automated technology can guarantee complete accuracy in every situation.

The quality and accuracy of localized communications may vary depending on numerous factors, including:

• The source content provided by the user
• Context and nuance
• Regional language variations
• Idioms and cultural expressions
• Technical limitations
• Background audio quality
• Internet connectivity
• Other factors beyond WanderX's reasonable control

Accordingly, WanderX makes no representation or warranty that communications generated or facilitated through the Services will be free from errors, omissions, inaccuracies, delays, or misunderstandings.

Because language, culture, and communication are inherently nuanced, localized communications may vary depending on context and should not be interpreted as guaranteeing identical wording, identical cultural interpretation, or identical meaning in every situation.

Users remain solely responsible for reviewing communications before relying upon or sending them.

By using WanderX, you acknowledge and agree that you are responsible for exercising your own judgment when reviewing and using communications generated or facilitated through the Services.

14. No Professional Reliance

WanderX is a communication platform.

The Services are intended to facilitate communication and are not intended to replace professional translation services or serve as a substitute for legal, medical, financial, tax, immigration, or other professional advice.

Users should not rely solely upon communications generated or facilitated through the Services when making decisions involving:

• Medical care
• Legal matters
• Financial decisions
• Immigration matters
• Regulatory compliance
• Emergency situations
• Any circumstance where inaccurate communication could result in harm, liability, financial loss, or other significant consequences

Where accuracy is critical, users should seek appropriate professional assistance or independently verify communications before acting upon them.

15. Medical Use Disclaimer

WanderX may be used by healthcare providers, medical clinics, hospitals, dental practices, medical tourism organizations, and other healthcare-related businesses to facilitate communication.

However:

• WanderX does not provide medical advice.
• WanderX does not diagnose medical conditions.
• WanderX does not recommend treatments.
• WanderX is not a licensed healthcare provider.
• WanderX does not replace qualified medical interpreters where such services are legally or professionally required.

Healthcare professionals remain solely responsible for the medical accuracy, appropriateness, legality, completeness, and regulatory compliance of any communications sent through the Services.

Nothing within WanderX should be interpreted as practicing medicine or replacing professional medical judgment.

16. Service Availability

While WanderX strives to provide reliable and uninterrupted Services, we cannot guarantee that the Services will always be available, uninterrupted, secure, or error-free.

Availability may be affected by factors including:

• Internet connectivity
• Device compatibility
• Third-party platform availability
• Scheduled maintenance
• Emergency maintenance
• Technical failures
• Force majeure events
• Other events beyond WanderX's reasonable control

WanderX reserves the right to suspend, modify, discontinue, replace, or update any part of the Services at any time.

We continuously improve the Services and may introduce new features, modify existing functionality, discontinue certain features, add or remove supported languages, update integrations, or otherwise evolve the platform as part of our ongoing product development.

17. Suspension and Termination

WanderX reserves the right to suspend, restrict, or terminate access to the Services if we reasonably believe that a user has:

• Violated these Terms
• Violated applicable law
• Misused the Services
• Used the Services for fraudulent or deceptive purposes
• Created or used unauthorized Voice Profiles
• Attempted to compromise the security, integrity, or availability of the Services
• Infringed the intellectual property, privacy, or other legal rights of another person
• Engaged in activity that could expose WanderX, its users, or its business partners to legal, financial, reputational, or security risks

Where appropriate, WanderX may investigate suspected violations before taking action.

Nothing in these Terms obligates WanderX to provide advance notice before suspending or terminating access where immediate action is reasonably necessary to protect the Services, users, or third parties.

Termination of an account does not relieve a user of any outstanding payment obligations or other responsibilities arising before termination.

Sections of these Terms that by their nature should survive termination shall continue to remain in effect following termination of your account or use of the Services.

Account Deletion

You may stop using the Services at any time.

Where supported, you may also request deletion of your account in accordance with our Privacy Policy.

Deletion of your account does not automatically remove information that WanderX is legally required or reasonably permitted to retain for purposes such as:

• Fraud prevention
• Security
• Legal compliance
• Dispute resolution
• Enforcement of agreements
• Protection of WanderX and its users

18. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WANDERX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR WILL MEET EVERY USER'S EXPECTATIONS.

WITHOUT LIMITING THE FOREGOING, WANDERX DOES NOT WARRANT THAT:

• Communications will always be accurate.
• Localized communications will always reflect identical wording, tone, or cultural interpretation.
• Every supported language or localization will always be available.
• The Services will always be uninterrupted.
• Errors or defects will always be corrected.
• The Services will always meet every user's specific needs or intended purpose.

Because communication is inherently contextual and language continues to evolve, users acknowledge that localized communications should be reviewed before being relied upon or shared.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WANDERX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, BUSINESS PARTNERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES.

THIS INCLUDES, BUT IS NOT LIMITED TO:

• Loss of profits
• Loss of business opportunities
• Loss of revenue
• Loss of goodwill
• Loss of data
• Business interruption
• Personal inconvenience
• Delays in communication
• Errors in communications
• Service interruptions
• Device failures
• Third-party service interruptions

EVEN IF WANDERX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WANDERX'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

• The total amount paid by you directly to WanderX during the twelve (12) months immediately preceding the event giving rise to the claim; or
• One hundred U.S. dollars (US $100).

Some jurisdictions do not permit certain limitations of liability. Where prohibited by law, portions of this section may not apply.

20. Indemnification

You agree to defend, indemnify, and hold harmless WanderX, its affiliates, officers, directors, employees, contractors, licensors, business partners, and service providers from and against any claims, damages, liabilities, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to:

• Your use of the Services
• Your User Content
• Your Voice Profile
• Your violation of these Terms
• Your violation of applicable law
• Your infringement of another person's rights
• Your misuse of communications generated or facilitated through the Services

This obligation survives termination of your account and your use of the Services.

21. Force Majeure

WanderX shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond our reasonable control.

These events may include, but are not limited to:

• Natural disasters
• Floods
• Fires
• Earthquakes
• Pandemics
• Epidemics
• Acts of government
• Changes in law
• War
• Terrorism
• Civil unrest
• Labor disputes
• Utility failures
• Internet outages
• Cyberattacks
• Failures of third-party service providers
• Other unforeseen events beyond WanderX's reasonable control

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Nothing in these Terms is intended to limit any mandatory consumer protections or legal rights available under the laws of your country or jurisdiction where such rights cannot legally be waived.

23. Dispute Resolution

We encourage users to contact WanderX first so that we may attempt to resolve concerns quickly, fairly, and informally.

If a dispute cannot be resolved through good-faith discussions, the dispute shall be resolved in accordance with applicable law.

Unless otherwise required by applicable law, any legal action arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in the State of Florida.

Each party consents to the jurisdiction of those courts.

Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief where reasonably necessary to protect intellectual property rights, confidential information, or other legal interests.

24. Changes to These Terms

WanderX may update these Terms from time to time to reflect changes in:

• The Services
• Applicable law
• Business operations
• Product features
• Security practices
• Subscription offerings

When material changes are made, we will update the Last Updated date at the beginning of these Terms.

Where required by applicable law, we will provide additional notice before material changes become effective.

Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.

25. Miscellaneous

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

The failure of WanderX to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

You may not assign or transfer your rights or obligations under these Terms without WanderX's prior written consent.

WanderX may assign these Terms in connection with a merger, acquisition, financing, sale of assets, corporate reorganization, or similar business transaction.

Section headings are provided solely for convenience and do not affect the interpretation of these Terms.

26. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and any additional policies or agreements expressly incorporated by reference, constitute the entire agreement between you and WanderX regarding your use of the Services.

These documents supersede all prior agreements, understandings, representations, negotiations, and communications relating to the Services.
